1. Agreement to Terms & Legal Identity
These Terms of Service ("Terms") govern your access to and use of Specsor, the commercial name used by Idov Mamane (French micro‑entrepreneur), located at 37 rue Jules Guesde, 92300 Levallois‑Perret, France ("Specsor", "we", "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and references to "you" include the organization.
2. Definitions
- Customer Content: prompts, ideas, files, data, and materials you submit to the Service, and outputs generated for you.
- Output: content generated by the Service using AI models.
- Order: an online sign‑up, pricing page selection, or any order form referencing these Terms.
- AI Credits: metered units consumed by model inference and related processing. Credits reset each billing cycle, do not roll over, and may be paused when exhausted unless you upgrade or purchase additional credits (if offered).
- Project Specification: a single specification deliverable generated by the Service based on your request. Creating or regenerating specifications may consume AI Credits.
- Billing Cycle: the monthly or yearly period for which you are billed and during which quotas and AI Credits apply.
3. Description of Service & AI Notice
Specsor is an AI‑powered platform that transforms user‑provided ideas into specifications, user stories, technical documentation, and implementation guides. The Service uses artificial intelligence models provided by third parties, including GPT‑5 and GPT‑5‑mini ("Model Providers") to generate Output.
- Outputs may be inaccurate, incomplete, or non‑unique. You must review and validate all Output before use.
- The Service does not provide legal, medical, financial, or professional advice.
- Other users may receive similar or identical Output; we do not guarantee exclusivity or originality.
4. Account Registration & Eligibility
To use certain features you must create an account via Google OAuth. You are responsible for:
- Providing accurate account information and keeping it up to date.
- Maintaining the confidentiality of your credentials and restricting access to your account and devices.
- All activities that occur under your account.
- Promptly notifying us of any suspected unauthorized use.
You must be at least the age of majority in your jurisdiction (and in any case not under 13, or up to 16 where required by law) to use the Service.
5. Plans, Fees, Taxes, and Renewals
We offer the following plans. Prices are in U.S. Dollars (USD) and processed by Stripe. Taxes (e.g., VAT/GST/sales tax) may apply and will be shown at checkout.
Monthly Billing (cancel anytime effective end of term)
- Starter: $29.99/month — 4 Project Specifications per month; 15,000 AI Credits/month; access to ready‑made templates; generate from prompts; export specifications.
- Pro: $49.99/month — 10 Project Specifications per month; 30,000 AI Credits/month; access to ready‑made templates; generate from prompts; export specifications.
- Ultimate: $99.99/month — Unlimited Project Specifications (fair‑use; see below); 70,000 AI Credits/month; access to ready‑made templates; generate from prompts; export specifications.
- Enterprise: $199.98/month — Unlimited Project Specifications (fair‑use); 160,000 AI Credits/month; access to ready‑made templates; generate from prompts; export specifications; priority support.
Yearly Billing (5 months free; billed upfront)
- Starter: $210/year (effective $17.50/month) — same entitlements as Starter Monthly.
- Pro: $350/year (effective $29.17/month) — same entitlements as Pro Monthly.
- Ultimate: $700/year (effective $58.33/month) — same entitlements as Ultimate Monthly.
- Enterprise: $1,400/year (effective $116.67/month) — same entitlements as Enterprise Monthly.
Quotas, Fair Use, and Overages
- Resets. Project Specification quotas and AI Credits reset each Billing Cycle. Unused quotas/credits do not roll over.
- Unlimited. "Unlimited" refers to the number of Project Specifications and is subject to reasonable, non‑abusive use and technical limits. Use still consumes AI Credits; if you exhaust Credits, generation may pause until the next reset or until you upgrade/purchase additional Credits (if available).
- Overages. Requests beyond plan limits may be blocked or require an upgrade/top‑up. Any top‑ups are prepaid, expire at the end of the current Billing Cycle, and are non‑refundable unless required by law.
Renewals, Changes, and Taxes
- Auto‑renewal. Subscriptions renew automatically at the then‑current price until canceled.
- Upgrades/Downgrades. All plan changes, including upgrades and downgrades, take effect immediately. No prorated charges or credits will be applied.
- Price/feature changes. We may change prices or features for legitimate business reasons. If we make material adverse changes to your plan, we will provide notice in advance and they will take effect at your next renewal unless you consent earlier.
- Taxes & fees. You are responsible for applicable taxes and regulatory fees unless we state otherwise.
6. Ordering, Payment & Invoicing
- Payments are processed by Stripe. By subscribing, you authorize recurring charges until cancellation.
- Electronic invoices are sent by email and available in your account. French legal mentions and VAT will be included where applicable.
- If a charge fails, we may suspend access until payment is completed.
- Access to the Service is provided immediately after successful payment.
7. Right of Withdrawal (EU Consumers)
Consumers ordinarily have a 14-day withdrawal right for distance contracts. For digital content/services, if you request immediate access, you expressly acknowledge that you lose the withdrawal right once the service begins.
By completing your purchase and starting to use the service immediately, you confirm that:
- You have asked Specsor to provide the digital service without waiting for the 14-day withdrawal period.
- You understand that once the service has begun, your 14-day withdrawal right is lost.
If you prefer not to begin immediately, you may contact us to delay activation until the withdrawal period ends.
8. Refunds, Cancellations, and Renewals
- Cancel anytime. You may cancel at any time; cancellation takes effect at the end of the current Billing Cycle.
- Auto‑renewal. Subscriptions auto‑renew each Billing Cycle at the then‑current price.
- No refunds. Except where required by law or expressly stated otherwise, fees (including annual prepayments) are non‑refundable once the Billing Cycle has started.
- France: We send the pre‑renewal reminder required for consumer contracts and provide a clearly labeled "Cancel subscription" button (3‑click path) within Account → Billing.
- Trials & promos. Any free trials, coupons, or promotions are subject to the terms presented at sign‑up and may convert to paid plans unless you cancel before the trial ends.
- Statutory rights. Nothing in these Terms limits any non‑waivable consumer rights under applicable law.
9. Legal Warranty of Conformity (EU)
If the Service fails to conform, you may request that we bring it into conformity within a reasonable time, free of charge. If impossible or disproportionate, you may obtain a price reduction or terminate the contract, as provided by applicable consumer law.
10. Acceptable Use; High‑Risk Restrictions
You will not, and will not permit others to:
- Use the Service for unlawful, harmful, deceptive, or misleading purposes; or to infringe, misappropriate, or violate others’ rights.
- Generate or disseminate malware; exploit children; promote violence or self‑harm; or otherwise violate our or Model Providers’ use policies.
- Reverse engineer, decompile, or attempt to derive source code or model weights; bypass or circumvent rate limits, security, or usage caps.
- Scrape, harvest, or mine data from the Service except as permitted through documented APIs.
- Use the Service in high‑risk environments (e.g., medical diagnosis, autonomous vehicles, critical infrastructure, weapons) where failure could lead to death, personal injury, or severe environmental damage.
- Misrepresent Output as being human‑generated where disclosure is required by applicable law.
- Share accounts or resell, sublicense, or provide the Service to third parties without our prior written consent.
11. Intellectual Property; Ownership and Licenses
As between you and Specsor, you retain ownership of Customer Content (including your prompts and Output), subject to third‑party rights. You grant us a worldwide, non‑exclusive, royalty‑free license to host, store, process, transmit, and display Customer Content to provide and secure the Service and to comply with law.
- Our IP. We own the Service, including software, models, interfaces, design, and branding.
- Outputs. We do not claim ownership of your Output. We do not guarantee that Output does not infringe third‑party rights or is error‑free.
- Feedback. If you provide feedback, you grant us a perpetual, irrevocable license to use it without restriction or compensation.
- Open Source. Some components may be offered under open‑source licenses; those terms govern your use of such components.
12. Third‑Party Services & Model Providers
We integrate third‑party services such as authentication (Google OAuth), payments (Stripe), and AI processing (OpenAI models GPT‑5 and GPT‑5‑mini). Your use of third‑party services may be subject to their terms and privacy policies. We are not responsible for third‑party services and disclaim liability arising from them.
13. Privacy & Data Protection
Your use of the Service is also governed by our Privacy Policy. Where required by law, we enter into data processing terms with customers and subprocessors. You are responsible for obtaining any necessary consents and providing required disclosures to your end users.
14. Service Availability; Beta Features; Support
- The Service may be subject to maintenance, updates, or outages. We strive for high availability but do not guarantee uninterrupted operation.
- We may offer preview, alpha, or beta features ("Beta"). Beta is provided "as is" without warranties, may be discontinued, and may not be as reliable or secure.
- Support offerings, if any, are described on our website or in your Order.
15. Disclaimers
THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR OUTPUT WILL BE ACCURATE, ERROR‑FREE, SECURE, OR UNINTERRUPTED.
Some jurisdictions do not allow the exclusion of certain warranties; to that extent, these disclaimers may not apply.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPECSOR AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION; IN EACH CASE ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO SPECSOR FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) US $100.
Nothing in these Terms excludes or limits liability where such limitation is prohibited by law (e.g., for death or personal injury caused by negligence in the EU).
17. Indemnification
You will defend, indemnify, and hold harmless Specsor and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to your Customer Content, your use of the Service, or your violation of these Terms or applicable law.
18. Copyright Policy
We respect intellectual property rights. If you believe content available through the Service infringes your copyright, email [email protected] with: (i) identification of the work claimed to be infringed, (ii) identification of the material claimed to be infringing, (iii) contact information, (iv) a statement of good‑faith belief, and (v) a statement under penalty of perjury that the information is accurate and you are authorized to act.
19. Export, Sanctions & Anti‑Corruption
- Comply with applicable export control and sanctions laws. You represent you are not located in, or a resident of, any embargoed country or on any restricted party list.
- Do not use the Service for prohibited end‑uses (e.g., military, WMD, or surveillance in violation of law).
- Comply with applicable anti‑corruption laws, including the U.S. FCPA and UK Bribery Act.
20. Suspension & Termination
We may suspend or terminate your access immediately if you breach these Terms, if required by law, or to address security or operational risks. You may terminate at any time by canceling your plan and ceasing use.
Upon termination, your right to use the Service ceases. Sections 7–9 and 12–22 survive termination.
21. Changes to the Service or Terms
We may modify the Service or these Terms from time to time. For material changes, we will provide reasonable notice (e.g., via email or in‑product). Changes take effect on the date stated in the notice. Your continued use after the effective date constitutes acceptance.
22. Governing Law; Jurisdiction
Governing Law. These Terms and any dispute or claim (contractual or non‑contractual) arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of France, without regard to conflict‑of‑laws rules.
Jurisdiction. The courts of Paris, France shall have exclusive jurisdiction, subject to any mandatory rights you may have as a consumer to bring claims in your local courts.
23. Miscellaneous
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms.
- Force Majeure. We are not liable for delays or failures due to events beyond our reasonable control.
- Severability. If any provision is unenforceable, the remainder remains in effect.
- Entire Agreement. These Terms, together with any Order and referenced policies (including the Privacy Policy), are the entire agreement and supersede prior agreements on the subject.
- Order of Precedence. If there is a conflict, an Order or a separate signed agreement prevails over these Terms, which prevail over site materials.
- Notices. We may provide notices by email, in‑product messages, or posting on our website. Legal notices to us must be sent to [email protected] and to the postal address below.
